ShihuiInternationalHoldingsLimited(inwhichChinaFangdaGroupCo.,Ltd.,hereinafterreferredtoasthe"Company",holdsa51%interest)andIsamKabbani&PartnersforBuilding&ConstructionMaterialsCO.LTD(awholly-ownedsubsidiaryofSaudiArabia"sIKKGroup,inwhichIKKGroupholdsa49%interest),hasenteredinto a contract with UPTOWN STADIUM CONSTRUCTION JV, the generalcontractor,forthemainvenueofLot1andthemuseumandancillarybuildingsofLot3 of the curtain wall engineering works for the Prince Mohammed bin SalmanStadiumProjectinQiddiya,SaudiArabia(hereinafterreferredtoasthe"PMBSStadium Project"). The total contracted amount is SAR 1,146,877,544 (SAR997,284,821excludingtax),equivalenttoRMB2,049,860,100,withacontractperiodof863days.
TheabovecontractconstitutesanordinaryoperatingcontractoftheCompany.TheCompanyhascompleteditsinternalapprovalproceduresforsigningthecontract.In accordancewith the Shenzhen Stock ExchangeListing Rules, the Company"sArticlesofAssociationandotherrelevantregulations,thesigningofthiscontractdoesnot constitute a related-party transaction, nor does it constitute a material assetrestructuring as defined under the Administrative Measures for Material AssetRestructuringsofListedCompanies.Therefore,approvalbytheBoardofDirectorsandtheshareholders"meetingisnotrequired.

Name: UPTOWN STADIUM CONSTRUCTION JV, a consortium formed by FCCConstrucción,S.A.ofSpainandNESMA&PARTNERSCONTRACTINGCOUJSCofSaudiArabia.
Principalbusiness:Undertakinglarge-scalesportsinfrastructureprojectsinSaudiArabia.
Registeredaddress:Riyadh,SaudiArabia.
2. Related-partyrelationship:TheCompanyhasnorelated-partyrelationshipwiththecounterparty,andtheabovetransactiondoesnotconstitutearelated-partytransaction.
3. The Company has not engaged in similar transactions with the counterpartyduringthelastthreefiscalyears.
4. Performance capability analysis: The counterparty possesses strong financialstrengthandcreditrating,anddemonstratessoundperformancecapability.III.MainTermsoftheContract
Contract scope: Curtain wall fa?adeworks for Lots 1 and 3 of the PMBSStadiumProject,includingdesign,supplyandinstallation.

Projectfundingsource:Ownfunds.
Performanceperiod:863days.
Liabilityforbreach:Thecontractprovidesforliquidateddamagesfordelayandoverallliabilityofthesubcontractor.Ifpaymentsbythegeneralcontractorfallintoarrearsbeyondanagreedthreshold,thesubcontractormay,afterfulfillingtherequirednoticeprocedures,suspendorterminatethecontractandclaimsettlementpayments.Settlementmethod:Paymentsunderthissubcontractshallbemadeinstages,including advance payments and progress payments. Retention money may bereplacedbyaguaranteeandreleasedaccordingtomilestones.Finalsettlementshallbemadeuponissuanceoftheperformancecertificate.

1.ThePMBSStadiumisaflagshipprojectunderSaudiArabia"s"Vision2030"andavenueforthe2034FIFAWorldCup.Itisoneofthemostsignificantlarge-scalecurtainwallprojectsintheworld.ThetotalcontractedamountofSAR1,146,877,544(SAR 997,284,821 excluding tax), equivalent to RMB 2,049,860,100, represents60.70%oftheCompany"sauditedoperatingrevenuefor2025.TheperformanceofthecontractisexpectedtohaveapositiveimpactontheCompany"soperatingresultsinfutureyears.Specificrevenuerecognitionwillbedeterminedinaccordancewiththeprogressofcontractperformance,theapplicableAccountingStandardsforBusinessEnterprises,andtheCompany"saccountingpolicies.
2.TheprojectmustcomplywithSaudilocalcodesandstandardswhileaddressingcomplexworkingconditions,includingcliff-tophighwindloads,sandstorms,andextremetemperatures,allofwhichplaceexceptionallystringentdemandsoncurtainwallsystemdesign,materialperformance,andon-siteconstructionmanagement.TheCompany"s successful award of this project fully demonstrates its technologicalleadership in the high-end curtain wall sector and its comprehensive projectmanagementcapabilityinlarge-scaleinternationalprojects.ThesuccessfulexecutionofthisprojectwillestablishabenchmarkportfoliowithinternationalinfluenceintheMiddleEast,acceleratethebuild-outoflocalizationcapabilities,andlayasolidfoundationfortheCompanytocontinuedeepeningitspresenceinoverseasmarketsandenhancingitsglobalcompetitiveness,servingasapositivedriverandbenchmarkforthedevelopmentoftheCompany"sinternationalbusiness.
